Trios Terms of Use

These Terms of Use (“Terms”) govern access to and use of services provided by Trios LLC (“Trios,” “we,” “us,” or “our”), including the Trios website, mobile applications, any web-based Trios application made available by Trios, Caregiver Weekly, free and paid features, caregiver organization tools, caregiver wellness tools, support services, and related products and services (collectively, the “Services”).

By accessing or using the Services, creating a Trios account, or purchasing a subscription, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

1. Eligibility

Trios accounts may only be created and maintained by individuals who are 18 years of age or older.

Individuals under 18 may not create or maintain a Trios account. By creating or maintaining an account, you represent that you are at least 18 years old and legally capable of entering into these Terms.

An adult account holder may use Trios to organize care for a child, dependent, older adult, person with a disability, individual experiencing illness or recovery, person with memory or cognitive conditions, or another person receiving care, where the adult is authorized to do so.

2. What Trios Provides

Trios is a caregiving organization and caregiver-wellness platform. Depending on the features available to your account, Trios may provide functionality involving:

  • Care Tasks;
  • appointments;
  • Care Records;
  • medication information and medication history;
  • Daily Care Journal entries;
  • care-recipient profiles;
  • expenses;
  • Care Circle information and sharing;
  • caregiver Mood, Energy, and Stress check-ins;
  • wellness summaries or support scores;
  • suggested next steps;
  • self-care tools;
  • care-transition planning;
  • caregiver resources and educational content.

Features may differ by platform, location, subscription level, device, or stage of development.

3. Trios Is Not Medical Care

Trios is not a healthcare provider and does not provide medical advice, diagnosis, treatment, or clinical care.

Information, summaries, scores, suggestions, wellness features, blog posts, resources, and other content provided through Trios are intended for organization, education, reflection, and general support.

They are not substitutes for advice from a qualified physician, nurse, pharmacist, mental-health professional, therapist, attorney, financial professional, or other appropriate professional.

You are responsible for consulting appropriate professionals regarding medical, caregiving, legal, or financial decisions.

4. Medication and Care Information

Trios may allow users to record medication information, health observations, symptoms, pain levels, appointments, and other caregiving information.

Trios does not:

  • prescribe medications;
  • verify medication safety;
  • determine medication dosages;
  • determine whether medications should be started, stopped, or changed;
  • replace pharmacist or physician instructions;
  • independently verify that information entered by users is accurate.

Users remain responsible for confirming medication instructions and healthcare information with appropriate professionals.

Do not rely on Trios as the sole source of information for medication administration or time-sensitive medical care.

5. Not an Emergency Service

Trios is not an emergency-response service.

Trios:

  • does not continuously monitor users or care recipients;
  • does not monitor for medical emergencies;
  • does not contact 911 or emergency services on a user’s behalf;
  • does not guarantee that alerts, reminders, messages, or notifications will be delivered at a particular time.

If you believe someone is experiencing an emergency, call 911 or the appropriate local emergency number immediately.

Do not rely on Trios for emergency monitoring, emergency communication, or other time-critical safety functions.

6. Caregiver Wellness Features

Trios may provide Mood, Energy, and Stress check-ins; wellness summaries; caregiver support scores; check-in history; self-care suggestions; and “One useful next step” or similar features.

These features are intended to support caregiver self-awareness and organization.

They are not clinical screening tools, medical diagnoses, psychological diagnoses, or professional mental-health assessments.

A Trios wellness score, summary, or suggestion should not be interpreted as a clinical determination.

7. Accounts and Account Security

You are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your credentials;
  • keeping your account information current;
  • activities conducted through your account;
  • notifying Trios if you believe your account has been compromised.

You may not:

  • share credentials in a manner that compromises account security;
  • impersonate another person;
  • create an account using information you are not authorized to use;
  • attempt to access another user’s account without permission.

We may require authentication or identity verification in connection with account recovery, privacy requests, security events, or other sensitive actions.

8. Information About Care Recipients and Other People

Trios allows caregivers to enter information about people receiving care and, where appropriate, other caregivers.

If you provide information about another person, you represent that you have an appropriate caregiving relationship, permission, authorization, legal basis, or other authority to use that information through Trios.

You are responsible for determining whether you are permitted to enter, maintain, share, export, or send that information.

Do not enter information about another person if you are not authorized to do so.

9. Care Circle and Sharing

Trios may allow users to invite other people into a Care Circle or otherwise share caregiving information.

When you grant another person access, information may become visible to that person according to the permissions or sharing features available at the time.

You are responsible for choosing appropriate Care Circle participants, reviewing sharing permissions, determining what information should be shared, and removing or changing access when appropriate.

Trios does not control what an authorized recipient does with information after that person legitimately receives or exports it outside the Services.

10. User Content and Ownership

You retain ownership of information and content that you lawfully provide to Trios (“User Content”). User Content may include Care Records, journal entries, task information, care-recipient information, notes, Care Circle content, wellness information, and other content you provide.

You grant Trios a limited, non-exclusive license to host, store, process, reproduce, display, transmit, and otherwise use User Content only as reasonably necessary to provide, secure, support, and maintain the Services, to carry out user-directed sharing or functionality, and to comply with applicable legal obligations.

This license does not give Trios ownership of your User Content.

Trios may use aggregated or deidentified information that is not reasonably linkable to an identified or identifiable individual to understand product usage, evaluate functionality, or improve the Services where permitted by applicable law. Trios will not use identifiable private User Content or identifiable consumer health data for materially additional product-improvement purposes not disclosed in the applicable privacy notice without first providing any additional notice and obtaining any consent required by applicable law.

You represent that you have the rights and authority necessary to provide the User Content to Trios.

11. Privacy and Consumer Health Data

Trios’s handling of personal information is described in the Trios Privacy Policy, the Trios Consumer Health Data Privacy Policy, and the Nevada Consumer Health Data Notice where applicable.

Acceptance of these Terms does not itself constitute consent to collect, use, or share consumer health data where applicable law requires separate affirmative consent or authorization.

For privacy questions or requests, contact privacy@trios-studio.com. Do not send unnecessary medical, medication, Daily Care Journal, or other sensitive health information in your initial email. Trios may direct you to an authenticated or otherwise secure process to verify identity or authority and complete a qualifying privacy request.

If a business transaction, transfer, or restructuring involves consumer health data, Trios will handle that information in accordance with applicable consumer health data laws and the applicable Trios privacy notices.

12. Free and Paid Features

Trios may provide both free features and optional paid features available through subscription plans.

Purchasing a subscription is optional unless a particular feature is clearly identified as requiring a paid plan.

The features included in free and paid plans may evolve over time. Trios will not intentionally misrepresent which functionality requires payment.

13. Paid Subscriptions

Trios may offer monthly, annual, or other recurring subscription plans that provide access to premium features.

Before purchase, the applicable purchase interface will disclose material subscription information, including as applicable:

  • price;
  • billing period;
  • included features;
  • renewal terms;
  • trial or introductory terms;
  • cancellation information.

Subscriptions may automatically renew unless canceled in accordance with the applicable platform’s procedures or other billing terms presented at purchase.

14. Apple App Store Purchases

If you purchase a Trios subscription through an Apple-distributed application:

  • payment is processed by Apple;
  • your subscription may automatically renew unless canceled;
  • subscription management and cancellation are handled through your Apple account;
  • Apple’s applicable payment, subscription, refund, and App Store terms apply.

Trios may receive information from Apple necessary to determine your subscription entitlement, such as purchase or subscription status.

Trios does not receive your full payment-card number from Apple merely because you purchase a subscription.

Where supported, subscription entitlement may be associated with your Trios account and recognized across supported Trios platforms.

15. Google Play Purchases

If you purchase a Trios subscription through a Google Play-distributed application:

  • payment may be processed through Google Play Billing as required by applicable Google Play policies;
  • the subscription may automatically renew according to the plan shown at purchase;
  • subscription management and cancellation are handled through Google Play or another permitted process;
  • applicable Google Play payment and refund rules apply.

Trios may receive information from Google necessary to determine purchase or subscription status and entitlement.

Trios does not receive your full payment-card number from Google merely because you purchase a subscription.

16. Cancellation

You may cancel an app-store subscription using the subscription-management tools provided by the platform through which you purchased it.

Canceling generally prevents future renewals. Unless otherwise provided by the applicable platform or required by law, cancellation does not necessarily result in an immediate refund of amounts already paid.

Access to paid features may continue through the end of the paid billing period.

17. Account Deletion Does Not Automatically Cancel a Subscription

Deleting or closing a Trios account does not automatically cancel an active recurring subscription managed through the Apple App Store, Google Play, or another billing provider.

You remain responsible for canceling the recurring subscription through the applicable app-store account or other billing method through which the subscription was purchased.

Where technically possible, Trios may provide reminders or instructions concerning subscription cancellation, but Trios cannot guarantee that deleting an account will stop billing by a third-party platform.

18. Refunds

For subscriptions purchased through Apple or Google Play, refund eligibility and processing may be governed by the applicable platform.

Trios may not be able to independently issue a refund for a transaction processed entirely by an app-store provider.

Nothing in these Terms limits refund or cancellation rights that cannot legally be waived.

19. Trials and Promotional Offers

Trios may offer free trials, introductory pricing, promotional subscription periods, or discount offers.

The specific terms will be disclosed before enrollment.

If a trial automatically converts to a paid subscription, the purchase interface will disclose the conversion and recurring price as required by applicable law and platform rules.

Unless canceled before the applicable deadline, a trial may convert to a paid recurring subscription according to the terms shown at enrollment.

20. Subscription Price Changes

Trios may change subscription prices in the future.

Price changes will apply in accordance with applicable law, app-store requirements, and required notice or consent procedures.

A price change will not authorize Trios to charge you in a manner inconsistent with the purchase terms presented to you or applicable platform rules.

21. Web-Based Subscriptions

Trios may later offer subscriptions directly through a web-based Trios application.

If direct web purchases are introduced, the applicable payment processor, pricing, automatic-renewal terms, cancellation procedure, and refund terms will be disclosed before purchase.

These Terms and the applicable Privacy Policy will be updated where appropriate before materially different payment practices are introduced.

22. Subscription Entitlements

Where technically supported, paid access may be associated with your Trios account rather than only one device.

This may allow a qualifying subscription purchased on one supported platform to unlock premium functionality on other supported Trios platforms.

Entitlement portability is subject to account authentication, platform restrictions, subscription status, and technical availability.

Purchases are personal to the applicable user or account and may not be resold or transferred except where a platform expressly permits it.

23. Caregiver Weekly and Educational Content

Trios may publish Caregiver Weekly, articles, tips, caregiver sentiment content, resource information, wellness content, product information, and educational materials.

Such content is for general informational purposes and is not medical, legal, financial, psychological, or other professional advice.

Users should evaluate information based on their individual circumstances and consult qualified professionals where appropriate.

24. Advertising, Sponsorships, and Affiliate Content

The public Trios website and Caregiver Weekly may in the future contain advertising, sponsored content, affiliate links, product recommendations, or commercial partnerships.

Paid or sponsored relationships will be identified where required.

Trios may receive compensation when users interact with or purchase through certain advertising or affiliate links.

The presence of an advertisement does not automatically constitute an endorsement, warranty, or guarantee by Trios.

Advertisers do not receive access to private authenticated caregiving, health, or wellness information merely because they advertise with Trios.

25. Third-Party Resources and Services

Trios may link to caregiver organizations, respite resources, healthcare resources, advertisers, product providers, and other external websites or services.

Trios does not control those third parties. Their own terms, privacy policies, availability, representations, products, and services apply.

Trios is not responsible for third-party content or services except to the extent required by law.

26. Acceptable Use

You may not use Trios to:

  • violate applicable law;
  • violate another person’s privacy or rights;
  • access data without authorization;
  • impersonate another person;
  • upload malicious code;
  • disrupt or attack the Services;
  • circumvent security or access controls;
  • reverse engineer the Services except where applicable law expressly permits it;
  • scrape or systematically extract information without authorization;
  • use automated systems in a manner that materially burdens the Services;
  • infringe intellectual-property rights;
  • engage in fraud or deceptive activity;
  • use Trios to harm, exploit, stalk, threaten, or harass another person;
  • use another person’s health or caregiving information without appropriate authority.

We may investigate suspected misuse and take appropriate action.

27. Trios Intellectual Property

Except for User Content and third-party materials, Trios and its licensors own the rights in the Services, including software, design, branding, logos, interface, original content, graphics, documentation, and other proprietary materials.

Subject to these Terms, Trios grants you a limited, personal, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.

These Terms do not transfer ownership of Trios intellectual property to you.

28. Feedback

If you voluntarily provide ideas, suggestions, or feedback concerning Trios, you grant Trios permission to use that feedback to evaluate, develop, or improve the Services without an obligation to compensate you.

This does not transfer ownership of private User Content or consumer health data to Trios.

29. Availability and Changes to the Services

Trios may improve, add, remove, retire, or change features; change interfaces; perform maintenance; or temporarily suspend functionality.

We do not guarantee uninterrupted or error-free availability.

Where a change materially affects a paid subscription, Trios will provide notice or remedies where required by applicable law or platform rules.

Users should maintain appropriate independent records of information that is critical to medical care, safety, legal obligations, or financial matters.

Trios should not be treated as the sole repository for information that must remain continuously available.

30. Beta and Pre-Release Features

Trios may offer beta, test, experimental, or pre-release functionality.

Such features may contain errors, change substantially, be discontinued, or have limited support.

Where appropriate, beta features will be identified as such.

31. Suspension and Termination

Trios may suspend or terminate access when reasonably necessary because of material violations of these Terms, fraud, security threats, unauthorized access, unlawful activity, abuse of the Services, or circumstances requiring suspension by law.

Where appropriate and reasonably practicable, Trios may provide notice before suspension or termination.

You may stop using the Services at any time.

Termination or deletion of a Trios account does not automatically cancel a separately managed Apple, Google Play, or other recurring subscription. Users remain responsible for canceling recurring subscriptions through the appropriate billing platform.

32. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TRIOS DOES NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • INFORMATION ENTERED BY USERS IS ACCURATE;
  • THIRD-PARTY CONTENT IS ACCURATE;
  • THE SERVICES WILL IDENTIFY OR PREVENT MEDICAL OR CAREGIVING PROBLEMS;
  • NOTIFICATIONS WILL ALWAYS BE RECEIVED;
  • THE SERVICES ARE A SUBSTITUTE FOR PROFESSIONAL CARE OR JUDGMENT.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

33. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRIOS LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, TRIOS’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO TRIOS FOR THE SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • US $100.

These limitations do not apply where liability cannot legally be excluded or limited.

Certain jurisdictions do not allow some exclusions or limitations, so portions of this section may not apply to you.

34. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Trios LLC from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services, User Content you were not authorized to provide, your material violation of these Terms, or your infringement of another person’s rights.

This obligation does not apply to the extent a claim results from Trios’s own unlawful conduct or where applicable law prohibits the obligation.

35. International Use

Trios is based in the United States but may be accessible internationally.

Availability of specific features may vary by country.

You are responsible for complying with laws applicable to your use of the Services.

Trios makes no representation that every feature is legally available or appropriate in every jurisdiction.

36. Export and Sanctions Compliance

You may not use the Services in violation of applicable United States trade restrictions or sanctions.

You represent that you are not prohibited from using the Services under applicable U.S. export-control or sanctions law.

37. iOS / Apple Terms

For a Trios application obtained through Apple’s App Store, Apple’s standard end-user license agreement and applicable Apple Media Services or App Store terms apply to the license and use of the Apple-distributed application unless Trios later adopts a separate compliant custom end-user license agreement.

These Trios Terms govern your relationship with Trios concerning the Trios service, account, content, subscriptions, and related functionality.

38. Android / Google Play Terms

For a Trios application obtained through Google Play, you must comply with applicable Google Play terms in addition to these Terms.

Google Play’s policies may govern payment processing, subscriptions, refunds, cancellations, store distribution, and other platform-specific functionality.

39. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent another jurisdiction’s mandatory consumer-protection law applies.

Nothing in these Terms deprives a consumer of protections that cannot legally be waived under applicable law.

40. Disputes

Before filing a legal action concerning these Terms or the Services, you and Trios agree to make a reasonable good-faith effort to resolve the dispute informally.

A notice concerning a dispute may be sent to support@trios-studio.com.

If a dispute cannot be resolved informally, either party may pursue available legal remedies in a court of competent jurisdiction, subject to applicable law.

Trios does not currently require mandatory arbitration or a class-action waiver under these Terms.

41. Changes to These Terms

Trios may update these Terms as the Services evolve, subscription offerings change, or laws or platform requirements change.

If a change is material, we will provide appropriate notice, which may include website notice, in-app notice, account notice, or email.

Changes will not retroactively eliminate rights where prohibited by law.

Continued use after legally effective updated Terms may constitute acceptance where permitted.

42. Electronic Communications

By using Trios, you agree that we may provide transactional and legally required communications electronically, including by email, in-app notice, website notice, or account notification.

Marketing communications, where offered, will be handled subject to applicable consent and opt-out requirements.

43. Assignment

You may not assign or transfer these Terms or your Trios account without Trios’s consent, except where applicable law provides otherwise.

Trios may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of all or substantially all relevant business assets, subject to applicable law and the applicable Trios privacy notices.

44. Severability

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

45. No Waiver

Failure by Trios to enforce a provision of these Terms does not waive the right to enforce that provision later.

46. Entire Agreement

These Terms, together with applicable subscription purchase terms, app-store terms, the Trios Privacy Policy, the Trios Consumer Health Data Privacy Policy, the Nevada Consumer Health Data Notice, and other policies expressly referenced by Trios, constitute the applicable agreement and disclosures concerning use of the Services, subject to terms that cannot legally be modified by contract.
